What is a Form D, and why does it matter?

Companies and funds raising money under Regulation D exemptions file a Form D with the SEC, usually within 15 days of the first sale. Funds file them when they raise, which makes recent filings a strong signal of who has fresh capital to deploy.

Does Form D include investors' emails?

No. Form D lists related persons such as executive officers and managing members. OmniLead finds contact details on the fund's own public website and shows that source separately.

Does it cover investors outside the US?

Form D covers US offerings, including foreign funds raising from US investors. Coverage of investors who never raise in the US is limited, and we say so rather than fill the gap with guesses.
